Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of VendorStax (“VendorStax,” “we,” “us,” or “our”), including our website, mobile experience, Show Mode, Shop Mode, kiosk experiences, account access, and related services (collectively, the “Service”).
By accessing or using VendorStax, you agree to these Terms. If you do not agree, do not use the Service.

1. What VendorStax Does
VendorStax is a software tool designed for trading-card vendors and card shops to organize inventory, manage shows, display available items through Show Mode or Shop Mode, allow buyers to search inventory, reserve or request cards, and track buyer interest, claims, pricing, reporting, and related business activity.
2. Accounts, Google Sign-In, and Team Access
You must be at least 18 years old or the age of majority in your location to create a VendorStax account. Accounts may be created using Google sign-in or other login methods we support. You agree to provide accurate account information, keep your login credentials secure, and accept responsibility for activity under your account. If you are invited to a team account, the account Admin may manage your access, role, permissions, and workspace access. Admins are responsible for inviting the correct users, assigning appropriate permissions, and removing users who should no longer have access.
3. Vendor Responsibilities
Vendors are responsible for:
- Keeping inventory, descriptions, prices, and availability accurate.
- Honoring their own sales, refund, shipping, event, and customer-service policies.
- Complying with all applicable laws, taxes, marketplace rules, venue rules, and card-show rules.
- Obtaining permission before contacting buyers for marketing purposes where required by law.
- Resolving disputes directly with buyers unless VendorStax is legally required to assist.
4. Buyer Responsibilities
Buyers are responsible for reviewing item details, prices, condition, availability, and vendor policies before purchasing or making a request. VendorStax does not guarantee that an item shown as available will remain available.
4A. Show Mode, Shop Mode, Claims, and Reservations
Show Mode and Shop Mode are tools that help vendors and card shops display inventory, collect buyer interest, create order or claim references, and organize fulfillment workflows. A claim, reservation, request, or order number created through VendorStax is not a guaranteed sale, guarantee of availability, payment confirmation, or binding transaction unless the vendor or card shop separately confirms it. Vendors and card shops remain responsible for pulling items, confirming condition and price, collecting payment, handling refunds or cancellations, and communicating with buyers.
5. Inventory, Pricing, and Product Information
VendorStax may display inventory and product information provided by vendors. We do not independently verify every listing, price, condition, image, or description. Vendors are solely responsible for the content they upload or display through the Service.
5A. Pricing Tools, Automation, and Market Data
VendorStax may provide pricing references, market data, dynamic pricing tools, condition-based pricing, graded-card pricing, price overrides, or other pricing assistance. These tools are informational and may rely on third-party data, user-entered data, formulas, or automated rules. VendorStax does not guarantee pricing accuracy, sale outcomes, profit, or market performance. Users are responsible for reviewing and approving prices before using them in a sale, trade, purchase, claim, or public display.
6. Payments and Transactions
Unless specifically stated otherwise, VendorStax is not the seller of any inventory and is not a party to transactions between vendors and buyers. If VendorStax enables payments, checkout, subscriptions, or paid features, those payments may be processed by third-party payment providers and may be subject to additional terms.
7. Subscriptions and Fees
Some VendorStax features may require payment. Fees, billing cycles, cancellation terms, and included features will be shown at checkout, in an order form, or in your account settings. Unless otherwise stated, fees are non-refundable except where required by law.
8. Acceptable Use
You agree not to:
- Use the Service for illegal, misleading, fraudulent, or abusive activity.
- Upload false, harmful, infringing, or deceptive content.
- Attempt to access accounts, systems, or data without permission.
- Interfere with the security, performance, or availability of the Service.
- Scrape, copy, reverse engineer, or misuse the Service except as allowed by law.
- Use buyer contact information except for the purpose for which it was submitted or as legally permitted.
9. User Content
You retain ownership of inventory data, descriptions, images, messages, and other content you submit (“User Content”). You grant VendorStax a limited license to host, use, display, process, and transmit User Content as needed to provide and improve the Service.
9A. Aggregated and De-Identified Data
We may use aggregated, de-identified, or anonymized information derived from use of the Service to improve VendorStax, develop reports, measure product performance, create market insights, and support business or partnership opportunities, provided that such information does not directly identify a specific user, buyer, vendor, or card shop.
10. Intellectual Property
VendorStax, including our software, branding, logo, design, features, and content, is owned by us or our licensors and is protected by intellectual property laws. You may not copy or use our branding without written permission.
11. Third-Party Services
The Service may connect to or rely on third-party services, such as payment processors, analytics providers, hosting providers, communication tools, or marketplace services. We are not responsible for third-party services, and your use of them may be governed by separate terms and privacy policies.
12. Service Changes and Availability
We may update, change, suspend, or discontinue parts of the Service at any time. We do not guarantee that the Service will always be available, error-free, or uninterrupted.
13. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee sales, buyer demand, inventory accuracy, pricing accuracy, or business results.
14. Limitation of Liability
To the fullest extent permitted by law, VendorStax and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Our total liability for any claim will not exceed the amount you paid to VendorStax in the three months before the claim, or $100 if you have not paid us.
15. Indemnification
You agree to defend, indemnify, and hold harmless VendorStax from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Service, your User Content, your transactions, your violation of these Terms, or your violation of law or third-party rights.
16. Termination
We may suspend or terminate access to the Service if we believe you violated these Terms, created risk for VendorStax or others, or used the Service in a harmful way. You may stop using the Service at any time.
17. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Venue for disputes will be located in the state or federal courts serving Orange County, Florida, unless applicable law requires otherwise.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may notify users by email, in-app notice, or by posting updated Terms. Continued use of the Service after changes become effective means you accept the updated Terms.
